Terms and Conditions of Sale

  1. Definitions:
  • "Buyer": The person who accepts a quotation from the Seller for the sale of the Goods or whose order for the Goods is accepted by the Seller.
  • "Goods": The products (including any installment or parts) that the Seller agrees to supply in accordance with these Conditions.
  • "Seller": C.M. Electrical Wholesalers Ltd, located at 25-27 Bull Street Ringway, West Bromwich, West Midlands, B70 6EU.
  • "Conditions": The standard terms and conditions of sale set out in this document, including any special terms and conditions agreed in writing between the Buyer and the Seller.
  • "Writing": Includes electronic communication.
  1. Basis of the Sale:
  • The Seller will sell, and the Buyer will purchase, the Goods in accordance with a quotation accepted by the Buyer or an order accepted by the Seller, subject to these Conditions. These Conditions will govern the Contract and exclude any other terms and conditions unless agreed upon in writing by authorized representatives of both parties.
  • Any advice or recommendation provided by the Seller regarding the storage, application, or use of the Goods that is not confirmed in writing by the Seller is followed at the Buyer's own risk.
  1. Orders and Specifications:
  • No order submitted by the Buyer will be deemed accepted unless confirmed in Writing by the Seller's authorized representative.
  • The Buyer is responsible for ensuring the accuracy of the order's terms and providing the Seller with any necessary information relating to the Goods in a timely manner.
  1. Price of the Goods:
  • The price of the Goods will be the Seller's quoted price. If no price has been quoted or the quoted price is no longer valid, the price listed in the Seller's published price list at the date of order acceptance will apply. All prices quoted are valid for 30 days or until earlier acceptance by the Buyer, after which they may be altered by the Seller without notice.
  • The Seller reserves the right to increase the price of the Goods by giving notice to the Buyer before delivery to reflect any increase in the Seller's costs due to factors beyond the Seller's control or changes requested by the Buyer.
  • The price is exclusive of any applicable value-added tax.
  • The Seller is entitled to invoice the Buyer for the price of the Goods on or after delivery, except when the Goods are to be collected by the Buyer or the Buyer wrongfully fails to take delivery.
  1. Delivery:
  • The Goods will be delivered when the Buyer collects them from the Seller's premises or at another agreed-upon location.
  • Delivery dates provided are approximate, and the Seller is not liable for any delays, except where time is expressly agreed upon as essential. The Seller may deliver the Goods in advance upon reasonable notice to the Buyer.
  • Each delivery of Goods constitutes a separate contract, and failure to deliver one or more installments does not entitle the Buyer to nullify or reject the entire contract.
  • If the Seller fails to deliver the Goods due to reasons within its control, the Seller's liability is limited to the cost of replacing the undelivered Goods.
  1. Risk and Property:
  • The risk of damage to or loss of the Goods passes to the Buyer in specific circumstances, including when the Goods are available for collection or when the Seller tenders delivery and the Buyer wrongfully fails to take delivery.
  • Property in the Goods does not pass to the Buyer until the Seller receives, back to user to add a question.
